Professional Indemnity Insurance for Breach of Professional Duty in Hong Kong

One of the biggest liability problems encountered for businesses and professionals in Hong Kong is a Breach of Professional Duty.

Under many Hong Kong Professional Indemnity Insurance products coverage is available where a client, customer, or other third party alleges that the professional or business has failed to meet a duty or responsibility arising from the services they were engaged to offer.

There is a level of nuance here beyond a simple Error or Omission in the product of your work, or of the policyholder being accused of an act of Professional Negligence.

The concept of Breach of Professional Duty can be broader than other aspects of Professional Indemnity Insurance, as many disputes in this coverage area do not center around a single mistake or error.

A “professional duty” can arise from the nature of a professional relationship (provider and recipient of professional services, for example), the agreed scope of any services being offered, contractual responsibilities, professional standards, and any other applicable obligations attached to the work being undertaken. In fact, many Hong Kong Professional Indemnity Insurance products are designed to protect against liability arising from a breach of professional duty.

This concept is also reflected directly in Hong Kong regulation: licensed insurance broker companies are required by the Insurance Authority to maintain Professional Indemnity Insurance covering claims for liabilities arising from breaches of duty in the course of carrying on their regulated activities.

In terms of what this means for you or your business, a Breach of Professional Duty claim could involve a consultant failing to perform services promised under an engagement, an accountant failing to discharge responsibilities owed to a client, or an engineer failing to meet duties attached to professional design work. The scope can touch on almost any profession or service.

Where a client, customer, or third party alleges a Breach of Professional Duty, a Professional Indemnity Insurance policy may respond subject to the definition of Professional Services and the limits, exclusions, conditions, and other terms contained within the individual policy.

What Counts as a Breach of Professional Duty?

In the simplest terms possible, a breach of Professional Duty happens when a business or professional is alleged to have failed to meet a responsibility arising from the professional services they were engaged to provide.

It is important to understand that a mistake, whether isolated or not, does not necessarily need to have occurred in regards to the breach of duty in question. The issue under this type of Hong Kong Professional Indemnity Insurance protection is, instead, whether the business or service provider fulfilled the wider duties attached to their role, their responsibility towards their relationship with a client, or the agreed scope of their work.

The concept of “Breach of Professional Duty” is clearly reflected in the language of actual Hong Kong Professional Indemnity Insurance products.

For example, AIG explicitly includes actual or alleged breaches of duty within its Professional Indemnity Insurance protection, while MSIG Hong Kong uses a broad Civil Liability approach designed to protect against liability arising from a breach of professional duty. QBE Hong Kong, similarly, describes its Professional Indemnity protection as covering civil liability for a breach of professional duty in the conduct of the insured’s professional work or services.

In reality, a professional duty could be something as simple as delivering documents within an agreed timeframe, or it could be much more complicated and involve exercising responsibilities attached to a professional role, complying with relevant professional standards, or performing obligations that a client was reasonably entitled to expect as part of the work to be supplied.

This means that a breach could occur where a consultant fails to deliver an agreed element of a project, or an advisor acts outside the responsibilities established by their engagement.

Whether a particular act or failure constitutes a covered Breach of Professional Duty under a Hong Kong Professional Indemnity Insurance policy will ultimately depend on the duty involved, the Professional Services being insured, the circumstances of the allegation, and the definitions, exclusions, limits, and other terms contained within the specific insurance product being purchased.

What Breach of Professional Duty Coverage Does Not Include

Having coverage for a Breach of Professional Duty benefit on your Hong Kong Professional Indemnity Insurance policy should not be constituted to mean that you or your business has protection for every failure, dispute, or contractual problem connected to your professional work.

For coverage to apply, an allegation of a breach will normally need to fall within the Professional Services insured by the policy and arise from duties or responsibilities that are covered by the policy wording. Issues that fall outside the agreed scope of Professional Services, exceed the available indemnity limit, or are caught by an applicable exclusion may not receive protection under your policy unless otherwise specified.

It is critical to understand that Professional Indemnity Insurance does not generally operate as a guarantee that every contractual obligation will be fulfilled. Certain contractual liabilities, commercial guarantees, penalties, performance commitments, or obligations that go beyond the duties the insured would otherwise have owed may be restricted or excluded depending on the policy being purchased, or industry being insured.

The same applies where allegations involve conduct that falls into another area of Professional Indemnity coverage. A dispute that appears to involve a Breach of Professional Duty may also contain elements of Professional Negligence, an Error or Omission, Defamation, or another professional liability exposure. The exact nature of the allegation can therefore influence which clause, extension, limitation, or exclusion becomes relevant.

Breach of Professional Duty in a Claims Situation

As with other coverage benefits under a Professional Indemnity Insurance policy, an allegation of Breach of Professional Duty does not automatically establish that the insured business or professional is legally liable for the loss being claimed.

A customer or other third party may allege that an agreed responsibility, professional obligation, or standard of service was not met, but the facts surrounding that allegation will still need to be reviewed before liability can be determined.

Where that allegation develops into a Professional Indemnity Insurance claim, the policy may become relevant to the investigation, defense, negotiation, or settlement of the dispute. The exact response will depend on the duty allegedly breached, the Professional Services being insured, the loss being claimed, and the specific limits, exclusions, notification requirements, and other terms contained within the policy.
